Recovery engagement terms

Version aerocore-engagement/2026-10-17-r2Contingency 45% of recoveriesNon-custodial

The short version: there is nothing to pay to run an audit, and the fee is a 45% share of what is actually recovered. If nothing is recovered, nothing is owed. You never pay us money you have not received.

1. Parties

These terms govern the engagement between XVILAN LLC, a Wyoming limited liability company of 30 N Gould St, Ste R, Sheridan, WY 82801 ("XVILAN"), and the company named in the acceptance record ("Client").

The person accepting these terms confirms that they are authorised to bind the Client.

2. What is provided

XVILAN audits the Client’s supplier invoices — into-plane fuel, landing, handling, navigation, passenger and related charges — against the rates, contracts and operational records that apply to them, and identifies amounts charged in excess of what was properly due.

Findings are delivered with the supporting evidence: the line, the amount billed, the amount properly due, and the basis of the difference.

A free historical audit may be run before any engagement begins. It is an estimate priced against the public reference rate library and is expressly not the Client’s contracted rates.

3. Fees

The fee is a contingency of 45% of the amounts actually recovered as a result of XVILAN’s work.

There is no retainer, no licence fee, no subscription and no charge for running an audit. If nothing is recovered, nothing is due.

Amounts recovered means sums the Client actually receives or is credited by the supplier — a refund, a credit note, or an invoice the supplier withdraws. A finding that the supplier rejects in full is not a recovery and is not charged.

Where a recovery arises in a currency other than United States dollars, the contingency is computed on the amount recovered and invoiced in that currency or in United States dollars at the rate at which the recovery was credited.

The share rate recorded in the acceptance is the rate that applies. No cap is applied.

4. Invoicing and payment

Contingency fees are invoiced after the Client receives the corresponding recovery. Invoices are raised through Stripe and are payable within thirty (30) days of the invoice date unless agreed otherwise in writing.

The Client may separately authorise XVILAN to collect fees by direct debit from a nominated bank account. That authorisation is given through Stripe, is recorded against the Client, and is taken once — it is a standing authority to debit that account, not a one-off payment. Where such an authority is in force, the fee is collected when the corresponding recovery is credited to the Client rather than on the thirty-day terms above, and the Client’s own accounts-payable run is not in the path.

Bank debit is used rather than card because the processing cost is borne by XVILAN: a card charge on a six-figure fee would take a material share of the very amount being recovered. The Client is not charged for either method.

The Client may withdraw the authority at any time on written notice, after which collection reverts to the thirty-day terms. Withdrawal does not affect fees already collected, nor fees on recoveries already credited.

Each invoice states the recovery it is computed on and the share taken, so that it can be re-derived from its own face.

Amounts unpaid after the due date may accrue interest at the lesser of 1.5% per month and the maximum permitted by law.

5. Non-custodial

XVILAN never takes custody of Client funds. Recoveries are credited by the supplier directly to the Client. XVILAN’s role is to identify and evidence the recovery, not to receive the money.

6. Client’s obligations

The Client will provide, or authorise access to, the contracts, rate schedules, invoices and operational records reasonably required to perform the audit, and will not withhold a recovery for the purpose of avoiding the contingency.

XVILAN will not submit a claim to a supplier on the Client’s behalf without the Client’s approval of the claim.

7. Confidentiality and data

Each party will keep the other’s confidential information confidential and use it only to perform this engagement.

Client data is processed to perform the audit and to maintain the record of what was found and what was recovered. Documents are retained for as long as the engagement and any applicable limitation period require.

The reference rate library is built from sources that are public to XVILAN. Contracted rates are the Client’s and are not shared or pooled.

8. No guarantee

The audit identifies amounts that appear to have been charged in excess of what was due. Whether a supplier accepts a finding, and how much is actually recovered, depends on the supplier and on the evidence — XVILAN does not guarantee a particular outcome.

9. Term and termination

The engagement continues until either party gives thirty (30) days’ written notice. Termination does not affect the fee on recoveries arising from work performed before termination.

10. Governing law

These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules.

11. Acceptance

By ticking the acceptance box, the Client agrees to these terms (aerocore-engagement/2026-10-17-r2) at the share rate of 45%, and the acceptance is recorded with the date, the version, the rate, the name, the email address and the network address from which it was given.
